Terms of Service

Please read these Terms of Service ("Terms") carefully before using ClipRig ("the Service"), operated by David Nesse ("we", "us", or "our"). By creating an account or using the Service, you agree to be bound by these Terms.

1. The Service

ClipRig is a software-as-a-service platform that monitors live streams on third-party platforms (Twitch, Kick, YouTube), detects moments of high chat engagement, captures short video segments, converts them to vertical format, adds captions, and presents them for human review and publication.

The Service is provided on a subscription basis. Access to features is determined by your active subscription plan. We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.

2. Accounts

You must be at least 13 years old (or the age of digital consent in your jurisdiction) to create an account. You are responsible for maintaining the security of your account credentials. You must notify us immediately at david@cliprig.gg if you believe your account has been compromised.

We reserve the right to suspend or terminate accounts that violate these Terms, engage in fraudulent activity, or are inactive for extended periods.

3. Subscriptions and Billing

Subscriptions are billed monthly in advance. By subscribing, you authorise us (via our payment processor, Stripe) to charge your payment method on a recurring basis until you cancel.

You may cancel your subscription at any time via the billing page in the app. Cancellation takes effect at the end of the current billing period — you retain access until then. We do not offer refunds for partial billing periods.

We reserve the right to change prices with at least 30 days' notice. Continued use after a price change constitutes acceptance of the new pricing.

4. Acceptable Use

You agree not to:

Use the Service to clip or redistribute content you do not have the right to use.
Violate the terms of service of any third-party platform (Twitch, Kick, YouTube, etc.).
Use the Service to produce or distribute content that is illegal, abusive, defamatory, or infringes intellectual property rights.
Attempt to reverse-engineer, scrape, or interfere with the Service's infrastructure.
Share, resell, or sublicense your account to other parties.

You are solely responsible for ensuring you have appropriate rights to the content you process through ClipRig, including any streaming clip rights granted by the channel owner or clipping program you work within.

5. Content and Intellectual Property

ClipRig does not claim ownership of any video content you process through the Service. You retain all rights you hold in that content.

By using the Service, you grant us a limited licence to process, store temporarily, and transmit your content solely to provide the Service to you. We do not use your content for any other purpose.

The ClipRig software, design, trademarks, and documentation are owned by us and may not be copied or used without permission.

6. Availability and Uptime

We aim to keep the Service available and reliable, but we do not guarantee uninterrupted access. Downtime may occur for maintenance, infrastructure issues, or events outside our control. We are not liable for losses caused by Service unavailability.

7. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that clips produced by the Service will be free of errors, that the AI framing or caption outputs will meet your expectations, or that the Service will detect every significant moment in a stream.

8. Limitation of Liability

To the maximum extent permitted by law, ClipRig's liability for any claim arising out of or relating to these Terms or the Service is limited to the amount you paid us in the 3 months preceding the claim.

We are not liable for indirect, incidental, consequential, or punitive damages, including lost revenue, lost data, or lost profits, even if we have been advised of the possibility of such damages.

9. Third-Party Services

The Service integrates with third-party platforms and services (Twitch, Kick, YouTube, Google, Stripe, Deepgram). Your use of those platforms is governed by their respective terms of service. We are not responsible for the availability, content, or practices of third-party services.

10. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by email or by posting a notice in the Service. Continued use after changes become effective constitutes acceptance of the revised Terms.

11. Governing Law

These Terms are governed by the laws of the jurisdiction in which we operate, without regard to conflict of law principles. Any disputes shall be resolved in the courts of that jurisdiction.
